1. Acceptance of Terms

These Terms of Service govern your access to and use of Vysentra (https://beta.vysentra.com), including our website, dashboard, reports, APIs, integrations, and related services. By creating an account, connecting a third-party account, purchasing a subscription, or using the service, you agree to these Terms. If you do not agree, you may not use the service.

2. Description of Service

Vysentra provides search intelligence and GEO analysis tools that help customers evaluate how websites, brands, queries, and competitors appear across AI and search experiences, including Large Language Models such as OpenAI, Claude, Gemini, and Perplexity. The service may also connect to Google Search Console to display authorized Search Console properties and performance data.

3. Eligibility and Accounts

You must be at least 18 years old and able to enter into a binding agreement to use the service. You are responsible for providing accurate account information, maintaining the confidentiality of your login credentials, and all activity that occurs under your account. You must notify us promptly if you suspect unauthorized access to your account.

4. Subscriptions, Trials, and Billing

Paid features may require a subscription, trial, or other purchase. You agree to provide accurate billing information and authorize us and our payment processor to charge applicable fees, taxes, and renewals. Subscription fees are billed according to the plan you select at checkout. Unless stated otherwise at checkout or required by law, fees are non-refundable. You may cancel a subscription through the available account or billing controls, and cancellation will take effect according to the terms shown for your plan.

5. Customer Content and Permissions

You retain ownership of websites, prompts, keywords, queries, brand information, competitor information, reports, and other content you submit to the service. You grant Vysentra a limited license to host, process, transmit, display, and use that content as necessary to provide, secure, support, and improve the service. You represent that you have the rights and permissions needed to submit content and connect third-party accounts on behalf of yourself or your organization.

6. Google Search Console and Third-Party Integrations

If you connect Google Search Console or another third-party service, you authorize Vysentra to access and process information from that service only as permitted by your settings, the permissions you grant, and our Privacy Policy. You are responsible for complying with the third-party provider's terms and maintaining the authority to connect the relevant account, property, or website.

We may lose access to third-party data if your authorization expires, you revoke access, a provider changes its API or terms, or the provider's service becomes unavailable. We are not responsible for third-party services, data, websites, models, APIs, or platforms that we do not control.

7. Acceptable Use

You agree not to:

  • use the service for illegal, harmful, deceptive, or abusive activity;
  • submit content that infringes, violates privacy rights, or is unlawful, defamatory, or malicious;
  • attempt to gain unauthorized access to the service, other accounts, systems, or networks;
  • reverse engineer, scrape, crawl, copy, or extract the service except as permitted by law or our written permission;
  • interfere with, overload, bypass, or disrupt the security, integrity, rate limits, or normal operation of the service;
  • use automated requests, bots, or bulk activity in a way that harms the service or other users;
  • misrepresent your identity, affiliation, website ownership, or authority to connect a third-party account.

8. AI, Search, and Analytics Results

Reports, rankings, recommendations, Search Console summaries, and AI visibility outputs are provided for informational and analytical purposes. AI systems, search engines, and third-party platforms can change frequently, and outputs may be incomplete, inaccurate, or different from what another user or system sees. Vysentra does not guarantee rankings, traffic, revenue, search performance, model behavior, or business outcomes.

9. Intellectual Property

The service, software, design, branding, workflows, templates, documentation, and underlying technology are owned by Vysentra or our licensors and are protected by intellectual property laws. Except for the rights expressly granted in these Terms, no rights are transferred to you. Feedback or suggestions you provide may be used by us without restriction or compensation.

10. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the service, you acknowledge that we process personal information as described there.

11. Suspension and Termination

You may stop using the service at any time. We may suspend or terminate access to the service if we reasonably believe you have violated these Terms, created risk for the service or other users, failed to pay fees, or used the service in a way that may cause legal, security, or operational harm. After termination, provisions that by their nature should survive will continue to apply.

12. Disclaimers

The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.

13. Limitation of Liability

To the fullest extent permitted by law, Vysentra will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, or SEO/search performance changes. Our total liability for any claim related to the service will not exceed the fees you paid to us for the service in the three months before the event giving rise to the claim, or USD $100 if you have not paid fees.

14. Indemnification

You agree to defend, indemnify, and hold harmless Vysentra from claims, damages, liabilities, losses, and expenses arising from your use of the service, your content, your third-party account connections, your violation of these Terms, or your violation of law or third-party rights.

15. Changes to the Service or Terms

We may modify, suspend, or discontinue parts of the service from time to time. We may also update these Terms. If changes are material, we will provide notice as appropriate, such as by email, in-product notice, or updating the date above. Continued use of the service after changes become effective means you accept the updated Terms.

16. Governing Law

These Terms are governed by the laws of the jurisdiction in which Vysentra operates, without regard to conflict of law rules. Nothing in these Terms limits consumer rights that cannot be waived under applicable law.
